INTRODUCTION

Welcome to AniYu ("we," "our," or "us"). AniYu is an anime streaming, manga reading, and social community platform developed and operated by Aniyu Ventures, a business registered under the Companies and Allied Matters Act 2020 in the Federal Republic of Nigeria (Business Name Registration No. 9158767).

These Terms of Service ("Terms") govern your access to and use of the AniYu mobile application, website, and all associated services (collectively, the "Platform"). By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

AniYu operates globally. These Terms are written to comply with applicable laws across multiple jurisdictions including but not limited to Nigeria, the European Union, the United States, Brazil, the United Arab Emirates, the Kingdom of Saudi Arabia, and Southeast Asian territories.

If you do not agree to these Terms, you must immediately stop using the Platform.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Minimum Age Requirement

You must be at least thirteen (13) years of age to use AniYu. Users under the age of eighteen (18) represent that they have obtained the consent of a parent or legal guardian to use the Platform. AniYu reserves the right to request proof of age at any time.

1.2 COPPA Compliance (United States Users)

AniYu does not knowingly collect personal information from children under the age of thirteen (13) in the United States in violation of the Children's Online Privacy Protection Act (COPPA). If we become aware that a user under 13 has provided personal information without verifiable parental consent, we will delete such information immediately. Parents or guardians may contact us at aniyuhq@gmail.com.

1.3 Account Registration

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your account credentials
• Notify AniYu immediately of any unauthorised use of your account
• Accept responsibility for all activities conducted under your account

AniYu reserves the right to suspend or terminate any account that provides false information or violates these Terms.

2. PLATFORM FEATURES AND PERMITTED USE

2.1 Available Features

AniYu provides users with access to the following features, subject to regional availability and ongoing development:

• Anime streaming and discovery
• Manga and manhua reader
• Offline content downloads
• Community feed (social posts, follows, likes, and comments)
• Independent creator content

2.2 Regional Content Availability

Certain content features, including anime streaming and manga reading, are subject to regional licensing restrictions and may not be available in all territories. AniYu reserves the right to restrict, modify, or withdraw content availability in any region at any time to comply with applicable licensing agreements or local laws. The community features of the Platform are available globally.

2.3 Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Permitted use includes:

• Personal, non-commercial access to available content
• Engaging with the community feed for anime and manga discussion
• Sharing original content you have the right to distribute
• Following and interacting with other users

3. PROHIBITED CONDUCT

By using AniYu, you agree that you will NOT:

• Post, transmit, or share content that is illegal, defamatory, obscene, harassing, threatening, or abusive
• Infringe upon any third-party intellectual property rights, including copyright, trademark, or patent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload or distribute viruses, malicious code, or any software that disrupts or damages the Platform
• Attempt to gain unauthorised access to any part of the Platform, user accounts, or related systems
• Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent
• Use the Platform to send unsolicited communications to other users
• Post content that promotes violence, discrimination, or hatred based on race, ethnicity, religion, gender, sexual orientation, or national origin
• Share or distribute content that is sexually explicit or pornographic in nature
• Attempt to extract, decrypt, convert, or distribute cached or downloaded files outside the AniYu Platform environment
• Circumvent, disable, or interfere with security-related features of the Platform
• Engage in any conduct that restricts or inhibits any other user's enjoyment of the Platform

AniYu reserves the right to investigate and take appropriate action against violators, including account suspension, content removal, and referral to law enforcement authorities.

4. USER-GENERATED CONTENT

4.1 Ownership

You retain all ownership rights to the original content you post on AniYu ("User Content"). By posting User Content on the Platform, you grant AniYu a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purposes of operating, promoting, and improving the Platform.

4.2 Your Responsibility

You are solely responsible for all User Content you submit, post, or transmit via the Platform. You represent and warrant that:

• You own or have the necessary rights and permissions to post your User Content
• Your User Content does not infringe the intellectual property rights of any third party
• Your User Content does not violate any applicable law or regulation
• Your User Content does not violate the rights of privacy or publicity of any person

4.3 Content Moderation

AniYu reserves the right, but not the obligation, to review, monitor, edit, or remove any User Content at our sole discretion, without notice, for any reason including violation of these Terms or applicable law.

4.4 Indemnification

You agree to indemnify, defend, and hold harmless AniYu, its founders, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your User Content or your violation of these Terms.

5. INDEPENDENT CREATOR CONTENT

AniYu may host original manga, artwork, and related creative works submitted by independent creators under separate Creator Partnership Agreements. All such content is governed by the specific terms agreed between AniYu and the respective creator. AniYu does not claim ownership of independently submitted creator content beyond the licence rights granted under such agreements. Users may not reproduce, redistribute, or commercially exploit any creator content hosted on the Platform without the express written consent of the content creator and AniYu.

6. OFFLINE DOWNLOADS AND CACHING

AniYu may provide an offline download feature allowing users to cache certain content for personal, offline use exclusively within the AniYu application ("Offline Content").

• Offline Content is provided strictly as a temporary, personal convenience
• Access to Offline Content is tied to your active account in good standing
• Offline Content does not grant you any ownership, reproduction, or distribution rights to the underlying media
• Any attempt to extract, decrypt, convert, or distribute Offline Content outside the AniYu Platform is strictly prohibited and constitutes a material breach of these Terms
• AniYu reserves the right to revoke offline access at any time, including upon account termination or content licence expiry

7. INTELLECTUAL PROPERTY RIGHTS

7.1 AniYu's Intellectual Property

All rights, title, and interest in and to the AniYu Platform, including its design, software, logos, trademarks, and proprietary content (excluding User Content and creator-submitted content), are and remain the exclusive property of Aniyu Ventures. Nothing in these Terms grants you any right to use AniYu's intellectual property without prior written consent.

7.2 Third-Party Content

Certain content available on the Platform, including licensed anime and manga titles, is owned by third-party rights holders and is made available to AniYu under licence. You may not reproduce, distribute, or create derivative works from third-party content without authorisation from the respective rights holder.

7.3 Feedback

If you provide AniYu with feedback, suggestions, or ideas, you grant AniYu an unrestricted, perpetual, irrevocable, royalty-free licence to use and incorporate such feedback into the Platform without any obligation or compensation to you.

8. COPYRIGHT POLICY AND DMCA NOTICE

8.1 Our Commitment

AniYu respects the intellectual property rights of others and complies with the United States Digital Millennium Copyright Act (DMCA), the Nigerian Copyright Act, and applicable international copyright frameworks.

8.2 Filing a Copyright Complaint

If you believe your copyrighted work has been infringed on the Platform, please provide the following to our Designated Copyright Agent:

• Your physical or electronic signature as the rights owner or authorised agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the infringing material, including specific URL or location within the Platform
• Your contact information including name, address, telephone number, and email address
• A good-faith statement that the use is not authorised by the copyright owner, its agent, or the law
• A statement under penalty of perjury that the information is accurate and you are authorised to act on behalf of the copyright owner

8.4 Counter-Notice

If you believe your content was removed in error, submit a counter-notice with your signature, identification of the removed content, a good-faith statement that the removal was a mistake, and your contact details to aniyuhq@gmail.com.

8.5 Repeat Infringer Policy

AniYu has adopted a policy of terminating, at our sole discretion, the accounts of users who are determined to be repeat infringers of intellectual property rights.

9. MONETISATION, SUBSCRIPTIONS, AND ADVERTISING

9.1 Free Tier and Advertising

AniYu offers a free tier supported by third-party advertising through Google AdMob and other advertising partners. By using the free tier, you consent to the display of advertisements. AniYu is not responsible for any claims arising from third-party advertisements.

9.2 Premium Subscriptions

AniYu may offer premium subscription plans providing access to additional features. Where Subscriptions are offered:

• Payment will be charged to your Apple App Store or Google Play Store account upon confirmation of purchase
• Subscriptions automatically renew unless auto-renewal is disabled at least 24 hours before the end of the current billing period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You may manage your Subscription and disable auto-renewal through your device Account Settings
• Cancellations take effect at the end of the active billing cycle; no refunds are provided for partial subscription periods

9.3 Price Changes

AniYu reserves the right to modify pricing at any time with advance notice. You may cancel before any new price takes effect.

10. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

AniYu processes user data in compliance with applicable regulations including:

• Nigeria Data Protection Regulation (NDPR)
• General Data Protection Regulation (GDPR) — European Union
• California Consumer Privacy Act (CCPA) — United States
• Lei Geral de Protecao de Dados (LGPD) — Brazil
• UAE Federal Decree-Law No. 45 of 2021
• Personal Data Protection Law (PDPL) — Kingdom of Saudi Arabia
• Personal Data Protection Acts — Philippines, Indonesia, Thailand, and Malaysia

Users in applicable jurisdictions retain the right to access, correct, delete, and port their personal data. Contact us at aniyuhq@gmail.com to exercise these rights.

11. THIRD-PARTY SERVICES

The Platform integrates with third-party services including Google AdMob, Apple App Store, Google Play Store, and payment processors. Your use of such services is subject to their respective terms and privacy policies. AniYu is not responsible for the practices or content of any third-party service.

12. DISCLAIMERS AND LIMITATION OF LIABILITY

12.1 Platform Provided As Is

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. AniYu does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

12.2 Limitation of Liability

To the fullest extent permitted by applicable law, AniYu and its affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of or inability to use the Platform, including loss of data, revenue, or goodwill.

12.3 User Content Disclaimer

AniYu does not endorse, support, or verify any User Content posted on the Platform and expressly disclaims all liability arising from User Content and the conduct of users.

13. ACCOUNT SUSPENSION AND TERMINATION

AniYu reserves the right to suspend, restrict, or permanently terminate your account at our sole discretion, without notice, for reasons including:

• Violation of these Terms or any applicable law
• Conduct deemed harmful to the Platform, other users, or third parties
• Repeated intellectual property infringement
• Provision of false or misleading registration information
• Extended period of account inactivity

You may terminate your account at any time by contacting aniyuhq@gmail.com. Upon termination, your right to access the Platform ceases immediately. Sections 4.4, 7, 8, 12, and 14 survive termination of your account.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to any principles of conflicts of law. Nothing in this clause limits the application of mandatory consumer protection laws in your jurisdiction where required by applicable law.

14.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the Platform, the parties agree to first attempt resolution through good-faith negotiation within thirty (30) days of written notice. If unresolved, the dispute shall be referred to binding arbitration in accordance with applicable Nigerian arbitration law.

14.3 EU and UK Users

If you are located in the European Union or United Kingdom, you may also submit a complaint to your local data protection authority or use online dispute resolution mechanisms available under applicable law.

14.4 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. CHANGES TO THESE TERMS

AniYu reserves the right to modify these Terms at any time. We will notify users of material changes through in-app notifications, email (where provided), or by updating the effective date at the top of this document. Your continued use of the Platform following any change constitutes your acceptance of the revised Terms.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Community Guidelines, DMCA Policy, and any applicable Creator Partnership Agreement, constitute the entire agreement between you and AniYu with respect to your use of the Platform.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of AniYu to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without AniYu's prior written consent. AniYu may freely assign its rights and obligations, including in connection with a merger, acquisition, or sale of assets.

16.5 Language

These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
